These Terms & Conditions form a binding agreement between you and [LEGAL_ENTITY_NAME], a company registered in Ghana under registration number [REG_NO], with its registered office at [REGISTERED_ADDRESS], trading as “Exohaven” (referred to as “Exohaven”, “we”, “us” or “our”). By creating an account, accessing or using exohaven.app (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Exohaven is an AI-powered itinerary planning and travel-content platform focused on Ghana. We help you discover, generate, edit, and share trip plans, and we list third-party events sourced from external providers.
We are not a tour operator, travel agency, or licensed tourism enterprise. We do not book, sell, resell, or fulfil any travel service — flights, hotels, ground transport, tours, restaurants, attraction tickets, or activities. Any price displayed for a third-party place, event, or experience is informational only and may be out of date. All bookings and payments for travel services occur directly between you and the relevant third-party provider.
2. Eligibility
You must be at least 18 years old and legally capable of forming a binding contract in your country of residence to create an account. By creating an account, you warrant that both are true. Children may appear in trip-group composition fields as travel companions, but they may not hold their own Exohaven account. We may suspend or terminate any account that breaches this requirement.
3. Accounts & security
You can sign in to Exohaven using email and password, Google OAuth, or an email one-time-passcode. You are responsible for keeping your credentials secure and for everything done under your account. You must provide accurate, current information and update it when it changes. Only one account per person is permitted. We may suspend accounts where compromise, fraud, or abuse is suspected.
4. Subscriptions, billing and Paystack
Exohaven offers paid subscription tiers (Wayfinder, Explorer, Voyager and Tourist Pass). Current prices and inclusions are shown on the /pricing page and may be changed on at least 30 days’ notice by email or in-app banner.
Billing for paid subscriptions is processed by Paystack Payments Limited (“Paystack”) as an independent payment processor. When you enter card details you also accept Paystack’s terms and privacy policy. Exohaven does not store full card numbers or card-verification values; we receive only the tokenised reference, the masked PAN’s last four digits, the card network and the expiry date.
Paid subscriptions auto-renew at the end of each billing period until cancelled. You may cancel at any time from your account; cancellation takes effect at the end of the then-current billing period and your access continues until that date.
No refunds, partial refunds, or pro-rated refunds are issued except where required by mandatory provisions of Ghanaian consumer law. If a scheduled payment fails, you have a seven (7) day grace period to update your payment method before your account is downgraded to the free Wayfinder tier.
5. Tourist Pass
The Tourist Pass is a single, one-time 30-day access pass. It is non-refundable from the moment of purchase. It expires automatically at the end of the 30-day period and does not auto-renew.
6. Your content and the licence you give us
When you use Exohaven you create content — itineraries, stops, descriptions, “other needs” prompts, names of trips, invitations to collaborators (your “User Content”). You retain ownership of your User Content.
By submitting User Content, you grant Exohaven a worldwide, royalty-free, sub-licensable, perpetual but revocable licence to host, store, copy, transmit, display, modify and create derivative works of that User Content solely for the purpose of operating, securing, promoting and improving the Service (including improving our AI models). The licence revokes when you delete the relevant User Content or your account, except where (a) collaborators you invited have already accessed it, in which case the licence continues for that already-shared content, and (b) your content has been incorporated into anonymised, aggregated analytics from which you cannot reasonably be identified.
You warrant that you hold all rights in your User Content and that it does not violate any third party’s rights or any law.
You must not submit User Content that is:
- unlawful, infringing, defamatory, hateful, obscene, sexually explicit, harassing or threatening;
- misleading, fraudulent, or impersonates another person;
- another person’s personal data submitted without their consent;
- spam, malware, or designed to interfere with the Service or its users.
We may, but are not required to, review User Content. We may remove User Content that breaches these Terms without notice, and we may report unlawful content to authorities.
7. AI-generated content disclaimer
Itineraries generated by our AI are produced from a curated database of Ghanaian points of interest. However, opening hours, prices, availability, road conditions, weather, safety conditions, visa requirements and even the continued existence of any venue can change without notice.
AI output is provided “as is” for inspiration and planning convenience only. You must independently verify all material details — operating status, hours, prices, age restrictions, entry requirements, transport options — directly with the venue or a licensed tour operator before relying on them or making travel arrangements. We make no representation that AI output is accurate, complete, current, suitable, safe or appropriate for your circumstances. You assume all risk associated with reliance on AI output.
9. Budget Pools
The Budget Pool feature lets a group coordinate the cost of a trip. Payments are recorded as having been received offline; the organiser marks each contributor’s pledge as paid when they receive the money outside the Service.
Exohaven does not hold, transmit, escrow or process any funds for Budget Pools. We are not a party to, and have no liability for, any financial obligation between an organiser and a contributor. Disputes about contributions are between the participants.
10. Third-party content and events
Event listings on Exohaven are sourced from third parties (including Blacvolta at api.blacvolta.com). Place data and photographs come from third-party providers. Map tiles come from OpenStreetMap contributors. We do not warrant the accuracy, completeness, lawfulness or suitability of any third-party content. Your booking, attendance and on-site experience are matters between you and the third party.
11. Acceptable use
You agree not to:
- scrape, crawl, or use automated means to access the Service except as expressly permitted by us in writing;
- reverse engineer, decompile or attempt to extract source code from the Service;
- attempt to access another user’s account, data, invite links or itineraries without authorisation;
- interfere with, probe or test the security of the Service, its infrastructure or its providers;
- use the AI itinerary endpoint to extract, copy or replicate our place database or AI prompts;
- resell, redistribute or commercialise itineraries or place data generated by the Service as a competing product;
- impersonate any person or entity, or misrepresent your affiliation with one;
- use the Service to harass, defraud, harm, or otherwise act unlawfully toward any person.
12. Intellectual property
Exohaven, the “Exohaven” name and logo, our AI prompts, our curated Ghanaian points-of-interest database, our design system, our codebase, our marketing copy, our blog and handbook posts and the overall look-and-feel of the Service are owned by [LEGAL_ENTITY_NAME] and protected by intellectual property laws in Ghana and internationally. We grant you a limited, personal, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own personal, non-commercial trip planning.
13. Termination
You may close your account at any time by going to Account → Account → Deactivate. Closing your account is irreversible.
We may suspend or terminate your account, with or without notice, for any breach of these Terms, suspected fraud or abuse, non-payment of amounts due, or where we are required to do so by law. Sections of these Terms that by their nature should survive termination — including the licence over User Content already shared, intellectual property, indemnity, disclaimers, limitation of liability and governing law — survive termination.
14. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by Ghanaian law, Exohaven disclaims all warranties, conditions and representations, whether express, implied or statutory, including any warranty that the Service will be uninterrupted, error-free, virus-free, timely, secure or that any AI output, place data, event listing, route or itinerary is accurate, current, lawful at the time of your travel, or fit for any particular purpose.
15. Limitation of liability
To the maximum extent permitted by Ghanaian law:
- Exohaven is not liable for any indirect, consequential, special, incidental or punitive damages, including loss of profit, loss of revenue, loss of data, loss of goodwill or wasted expenditure;
- Exohaven’s total aggregate liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence) or otherwise, is capped at the greater of (a) five hundred Ghana cedis (GHS 500) and (b) the fees you actually paid to Exohaven in the twelve (12) months immediately preceding the event giving rise to the claim;
- Exohaven is specifically not liable for any loss arising from your travel decisions, your reliance on AI output, third-party content (including Blacvolta event listings, OpenStreetMap data, Google OAuth and Paystack), the acts or omissions of any third party, force majeure, or any matter beyond our reasonable control.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (including liability for fraud).
16. Indemnity
You will indemnify, defend and hold harmless Exohaven, its officers, directors, employees and agents from and against any third-party claim, demand, loss, liability, damage, fine, cost or expense (including reasonable legal fees) arising out of or in connection with your User Content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and via an in-app banner at least fourteen (14) days before they take effect. Continued use of the Service after the effective date is your acceptance of the updated Terms. If you do not accept a change, you must close your account before the effective date.
18. Governing law and disputes
These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of the Republic of Ghana, without regard to its conflict-of-laws principles.
Before commencing any formal proceeding, you and Exohaven will attempt in good faith to resolve the dispute by writing to [LEGAL_CONTACT_EMAIL]. If the dispute cannot be resolved within thirty (30) days, it will be submitted to the exclusive jurisdiction of the courts of Ghana sitting in Accra.
19. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy and Cookie Policy) are the entire agreement between you and Exohaven about the Service and supersede any earlier understanding.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the rest of the Terms remain in full force.
- No waiver. A failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to an affiliate or to a successor in interest (for example in a merger, acquisition or restructuring) without your consent.
- Notices. We may give notice by email to the address on your account, or by an in-app banner. You must give notice to us by email at [LEGAL_CONTACT_EMAIL].
